Please read these Terms and Conditions ("Agreement") carefully before using the SaaS POS IDZlink.com (the "Service") provided by FI-ES Systems ("Provider"). This Agreement sets forth the legally binding terms and conditions for the use of the Service. By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree with these terms and conditions, you should not proceed with the use of the Service.
1. Definitions a. "Service" refers to the SaaS POS IDZlink.com provided by FI-ES Systems. b. "User" refers to any individual or entity using the Service. c. "Provider" refers to FI-ES Systems, the provider of the Service. d. "Agreement" refers to these Terms and Conditions.
2. Use of Service a. The Service is provided on an "as is" and "as available" basis. The Provider does not guarantee that the Service will be uninterrupted, timely, secure, or error-free. b. The User is responsible for maintaining the confidentiality of their account and password, and for all activities that occur under their account. c. The User agrees not to use the Service for any illegal or unauthorized purpose, and to comply with all applicable laws and regulations. d. The User acknowledges that the Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. The Provider is not responsible for any delays, delivery failures, or other damages resulting from such problems.
3. Intellectual Property a. The Service, including but not limited to software, graphics, logos, and trademarks, is the intellectual property of the Provider. The User agrees not to copy, modify, or distribute any portion of the Service without the Provider's prior written consent. b. The User retains ownership of any data or content they submit to the Service. By using the Service, the User grants the Provider a non-exclusive, worldwide, royalty-free license to use, copy, modify, and distribute such data or content for the purpose of providing the Service.
4. Payments and Fees a. The User agrees to pay all fees and charges associated with the use of the Service as set forth by the Provider. b. The Provider reserves the right to modify the fees and charges for the Service with prior notice to the User. c. Payments made for the Service are non-refundable, except as expressly provided by the Provider.
5. Privacy and Data Protection a. The Provider will collect, store, and process personal information and data in accordance with its Privacy Policy. b. The User acknowledges and agrees that the Provider may collect and use anonymous data and information related to the use and performance of the Service for statistical and analytical purposes.
6. Limitation of Liability a. The Provider shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of the Service. b. The Provider's total liability under this Agreement shall not exceed the total fees paid by the User for the Service during the twelve (12) months preceding the event giving rise to the liability.
7. Termination a. The Provider reserves the right to suspend or terminate the User's access to the Service at any time, with or without cause and without prior notice. b. Upon termination, the User's right to use the Service will immediately cease, and the User must cease all use of the Service.
8. Governing Law and Jurisdiction a. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Provider is located. b. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction where the Provider is located.
9. Modification of Terms a. The Provider reserves the right to modify or update this Agreement at any time. The User's continued use of the Service after any such modifications or updates constitutes acceptance of the revised Agreement.
10. Entire Agreement This Agreement constitutes the entire agreement between the User and the Provider regarding the use of the Service, and supersedes any prior agreements or understandings, whether oral or written.
By using the SaaS POS IDZlink.com Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of this Agreement, you should not proceed with the use of the Service.
